Decision of the President of the Office of Competition and Consumer Protection

On 10 July 2014, the Management Board of Asseco Poland S.A. received the decision of the President of the Office of Competition and Consumer Protection (“OCCP”) on extending the period of validity of its consent to the consolidation of Asseco Poland S.A. and Sygnity S.A. that was originally granted on 11 July 2012. The Company has taken advantage of the opportunity arising from the Act on Competition and Consumer Protection of 16 February 2007 (art. 22 sect. 2) and filed an application to the President of OCCP for extension of the validity of its consent to the consolidation by a period of one year. “Asseco Group’s strategy involves both organic growth and expansion through company acquisitions. Formal extension of the consolidation consent is aimed at maintaining various development options for the Group. We are considering acquisitions in different markets worldwide and want to have open opportunities also in the domestic market,” said Adam Góral, President of Asseco Poland S.A. Asseco is working continuously on further development of the Group, which has already carried out several hundred analyses and negotiations with potential takeover targets. As a result, the Group has successfully completed more than 60 acquisitions in various markets. The Company’s Management Board has not yet decided to announce a tender offer for shares of Sygnity. However, formal extension of the consent given by OCCP enables doing so in the future.
